# Temp-to-perm transfer fees: the regulation 10 rules on eight weeks, fourteen weeks and the extended-hire option

> When an agency can charge for a client taking a temp on permanently: the eight and fourteen-week limits, the extended-hire choice, and the clause.

- Key fact: Regulation 10 lets an agency charge a transfer fee only if its terms gave the hirer the choice of an extended period of hire instead, and only if the permanent hire comes before the later of eight weeks after the assignment ended and fourteen weeks after it started; a temp who started on 1 June 2026 and finished on 11 September 2026 is free to the client from 6 November 2026.

A client who has had a temp for four months and wants to keep them is the best outcome a temp desk produces, and the fee for it is the most argued-over invoice in the sector. Unlike the permanent fee, which is whatever the terms say, the temp-to-perm fee is governed by statute: regulation 10 of the Conduct of Employment Agencies and Employment Businesses Regulations 2003. Get the clause wrong and the fee is unenforceable however reasonable it was.

## The three conditions

GOV.UK states the rule as three conditions that must all apply before a transfer fee can be charged:

1. Your contract with the hirer gives them the option to extend the worker's assignment instead of paying a fee.
2. The hirer does not take that option.
3. The hirer gives the worker a permanent job less than eight weeks after the end of the assignment, or less than fourteen weeks after it started if that is later.

Miss condition one and no fee is chargeable at all, whatever the dates. This is the drafting point: terms that simply state "a transfer fee of X% is payable if the client engages the worker" are void on this point, because they do not offer the choice. The clause has to offer the extended period of hire, state its length, and say that at the end of it the worker may be engaged without a fee.

## The extended hire

If the hirer takes the extension, the agency continues to supply the worker for the extended period and charges its normal margin; at the end the hirer may engage the worker with no fee. The terms of the extension cannot be worse for the hirer than the original assignment: the agency cannot price the extension to make the fee the only sensible choice.

## The two dates, worked

Fourteen weeks from the start protects the agency on short assignments; eight weeks from the end protects it on long ones. The later of the two applies.

A temp started on 1 June 2026 and the assignment ended on 11 September 2026. Fourteen weeks from 1 June is 7 September. Eight weeks from 11 September is 6 November. The later is 6 November 2026: a permanent offer before that date attracts the fee if the extended-hire option was in the terms; from that date the client can hire without one. The [fee and rebate calculator](https://aeolookup.com/recruitment/recruitment-fee-and-rebate-calculator/) does this arithmetic from the three dates.

A break in the assignment and a return does not restart the fourteen weeks unless the break was more than 42 days: the regulation treats an assignment resumed within that as continuous for this purpose.

## Temp-to-temp and temp-to-third-party

**Temp-to-temp**: the hirer moves to a different employment business and takes the worker with them. The same three conditions apply, including the extended-hire choice.

**Temp-to-third-party**: the hirer introduces the worker to another company that engages them. A fee can be charged within the same time limits, and GOV.UK confirms that for this case you do not have to offer the extended-hire choice.

## Where the fee is lost

- The clause does not offer an extension, or offers one on worse terms.
- The offer date is outside the window and the agency invoices anyway; the client's solicitor cites regulation 10 and the agency withdraws.
- The agency cannot prove the client accepted the terms at all, which is the [terms of business](https://aeolookup.com/recruitment/recruitment-agency-terms-of-business-what-to-include/) problem rather than a regulation 10 one.
- The worker was supplied through an umbrella or a second-tier agency and the contracts do not line up; from 2027 umbrella companies come inside the Conduct Regulations under the Employment Rights Act 2025, which the [dates guide](https://aeolookup.com/recruitment/employment-rights-act-2025-dates-recruitment-agencies/) covers.

## The clause, in plain shape

If the client engages a worker within the regulation 10 period, the client may choose either an extended period of hire of [n] weeks on the same terms, after which the worker may be engaged without charge, or a transfer fee of [x]% of the worker's annual remuneration in the new role. The agency will ask the client to choose in writing; if the client does not choose within [n] days the extension applies. Have a solicitor write the real one.

## Short answers from this page

**When can an agency charge a temp-to-perm transfer fee?** Only if its terms gave the hirer the choice of an extended period of hire instead, and only if the permanent offer comes before the later of eight weeks after the assignment ended and fourteen weeks after it started. A temp whose assignment ended on 11 September 2026 can still attract a fee if the client offers the job before 6 November 2026.
