How does an RMC director resign? The 14-day notice to Companies House, counted by date
An RMC director who steps down must be reported to Companies House within 14 days of the day they leave. The date count and what the board should file.

A leaseholder who joined the board of the residential management company (RMC) to help out, and now wants to step down, usually asks the same thing: do I just tell the others? The Companies Act 2006 does not set out a resignation procedure. What it does set is a clock for telling Companies House, and that clock is the part a managing agent can help with.
What we could confirm
Section 167H of the Companies Act 2006 requires a company to tell the registrar when director information changes, "within the period of 14 days beginning with the day on which the change occurs". We read it on legislation.gov.uk on 6 October 2026. The old section 167 was omitted when the Economic Crime and Corporate Transparency Act 2023 took full effect on 18 November 2025, so older guides that cite section 167 are citing text that has gone.
GOV.UK's guidance for company owners says the same in plain words: you must tell Companies House within 14 days if there are changes to directors. It also says you can use the online service or paper forms.
Counting the 14 days
"Beginning with" means the day of the change is day 1. That is our reading of the wording, and we did not find a tribunal or court ruling on it.
| Resignation date | Day 1 | Day 14, last day to file |
|---|---|---|
| Friday 6 November 2026 | 6 November | Thursday 19 November 2026 |
| Tuesday 1 December 2026 | 1 December | Monday 14 December 2026 |
The working is date plus 13. A board that waits for the next meeting to "note" the resignation can easily miss it: if the board meets monthly and the resignation falls just after a meeting, the next meeting is roughly 30 days away, which is more than twice the window.
What the board should do
- Get the resignation in writing, dated. The date matters because the 14 days run from it.
- File the termination online or on paper. Search results named form TM01 for this, but we did not open the form page, so check Companies House for the current version.
- Update the company's own registers and bank mandate. We did not confirm any rule on these, so check the articles.
- Check the board still works. A company's articles may set a minimum number of directors, and we have not read this company's. Our guide on RMC annual general meetings covers quorum.
- Check who is left to verify. Remaining directors face the identity check described in our guide to Companies House identity verification for RMC directors.
A director who leaves does not escape what they did while in office. See can an RMC director be sued personally for the duties that applied at the time.
What we could not confirm
We did not find a figure for the penalty for filing late; the GOV.UK page we read did not give one. We did not read the form guidance, the Companies House filing fee position, or any model articles for private companies on resignation. Whether a notice is effective from the day it is given or the day it is accepted is for the articles and the director's service terms.
Overlyft can set up an AI assistant that logs each dated resignation, works out the last filing day, drafts the Companies House notice for a person to check and send, and reminds the board three days before the window closes.
This is general information, not legal advice.
Where this comes from: Companies Act 2006 section 167H (inserted by the Economic Crime and Corporate Transparency Act 2023, in force 18 November 2025) on legislation.gov.uk, and GOV.UK Running a limited company, Company changes you must report, both read 6 October 2026. The GOV.UK page on appointing or removing directors returned a not-found error. Form TM01 was named in search results and its page was not opened.
